In brief
The written order governs. Pricing, availability, delivery, and payment are set order by order, in the company’s written quote as accepted by the buyer or in the buyer’s purchase order as accepted by the company in writing. The terms below apply only where the written order is silent.
About these terms
These terms apply to the use of newyorkempiretrades.com and to materials supplied by New York Empire Trades Inc., a New York corporation. In these terms:
- The company, we
- New York Empire Trades Inc.
- Buyer
- The public agency, organization, or person that places an order.
- Written order
- The company’s written quote as accepted by the buyer, or the buyer’s purchase order as accepted by the company in writing, together with any later change both parties agree to in writing.
The written order governs
Each order stands on its own, and its terms are set in writing.
- Items, quantities, units of measure, pricing, availability, delivery, and payment are those stated in the written order.
- No price, payment term, or delivery time from this website or from earlier correspondence applies to an order unless the written order states it.
- When a public agency’s purchase order, contract, or solicitation carries its own terms and conditions, those terms govern where they differ from these.
- If these terms and the written order conflict, the written order controls.
Materials supplied
The company supplies building, facility and workplace materials. When the written order states them, the company also provides:
- Product sourcing and procurement, including manufacturer and part number matching for specified, legacy, and discontinued items.
- Delivery and handling.
The company supplies materials only. Construction and trade installation work, such as plumbing, electrical, carpentry, or mechanical installation, remains with the buyer’s own trades and contractors. The company does not provide design, engineering, or code compliance review. Technical product information supplied with an order comes from the manufacturer.
Quotes and order acceptance
A quote is prepared from the requirement as it is provided at the time and states the period for which it is valid. A quote does not reserve stock. An order is formed only when the buyer accepts a quote in writing or the company accepts the buyer’s purchase order in writing.
A change to an item, quantity, delivery location, schedule, or any other term takes effect only when both parties agree to it in writing.
Specified items and equivalents
When a manufacturer, model, or part number is specified, the company quotes that item. If an equivalent is offered, the quote identifies it as an equivalent and names its manufacturer and part number. An equivalent is supplied only after the buyer approves it in writing.
Pricing, taxes and payment
Prices, taxes, freight, and any other charges are those stated in the written order. A price quoted before an order is formed may change if the requirement, quantity, or schedule changes, or if the quote’s validity period ends.
Sales tax is charged where it applies unless the buyer provides valid exemption documentation before invoicing. Payment terms, invoicing method, and remittance details are those stated in the written order or established during vendor setup. Payment by a public agency follows that agency’s own payment procedures.
Availability and delivery
Availability and delivery timing stated in a written order reflect manufacturer and carrier information at that time. They are estimates unless the written order states a firm delivery date.
The written order identifies the delivery location, method, and receiving requirements, and the buyer provides safe, reasonable access to the delivery point.
Receiving, shortages and damage
Please count and inspect each delivery when it arrives. Note visible damage or shortages on the delivery receipt, keep the packaging, and report the issue to the company promptly, with photographs where possible. Report damage that is discovered after delivery as soon as it is found. The company reviews the order record and works with the carrier or manufacturer to resolve the issue.
Returns, cancellations and special orders
Returns require the company’s written authorization and are subject to the manufacturer’s return policy for the item. Any restocking charge or return freight is stated before a return is authorized.
Cancellations require written agreement and may be limited once an item has been ordered from the manufacturer. Items that are made to order, cut to size, specially ordered, or discontinued may not be cancellable or returnable. The written order identifies these items.
Inside delivery and site requirements
When the written order includes inside delivery, the buyer arranges building access, elevator or loading dock reservations, and security clearance, and informs the company in advance of site rules and safety requirements. Deliveries follow posted site requirements. Delivery beyond the scope stated in the written order requires a written change.
Warranties
Products carry the manufacturer’s warranty, if any. The company provides purchase records and reasonable assistance with a manufacturer warranty claim, but it does not extend or replace the manufacturer’s warranty.
Except as stated in the written order, and to the extent permitted by law, the company makes no other warranties, express or implied.
Limitation of liability
To the extent permitted by law, and unless the written order states otherwise, the company’s responsibility for an order is limited to replacing or resupplying the affected item, or refunding the amount paid for it. It does not include indirect, incidental, or consequential losses. Nothing in these terms limits liability that cannot be limited by law.
Use of this website
This website describes the company and its registrations. It is not an online store. Nothing on it is an offer to sell, a price, or a statement of stock, and no order can be placed through it.
Nothing on this website or in the company's capability statement indicates an authorized dealer relationship with any manufacturer. Agency names and marks identify supplier accounts and registrations only and do not imply endorsement.
The text, layout, and logo on this website may not be copied for commercial use without the company’s written permission. Photographs are used under the licenses listed in Photo credits and remain the property of their authors. Information sent to the company is handled under the Privacy Policy.
Governing law
These terms are governed by the laws of the State of New York. An order placed by a public agency is also subject to the laws and dispute procedures that apply to that agency’s procurement.
Changes to these terms
The company may update these terms by posting a revised version on this page with a new effective date. The terms in effect when an order is formed apply to that order.
